General Terms & Conditions

1. Definitions

In these general terms and conditions, the following terms are used:

Orbecta
The trade name of Orbecta, established at Waldorpstraat 584, 2521 CK The Hague, the Netherlands, registered with the Dutch Chamber of Commerce under registration number 72579943
Platform
The Orbecta SaaS platform, accessible via orbecta.com, which provides procurement and supply chain intelligence to business users.
Customer
The legal entity, independent professional or natural person who enters into a Subscription on the Platform.
User
The natural person who has access to the Platform on behalf of the Customer.
Subscription
The paid access subscription to the Platform: Orbecta Pro or Orbecta Business.
Pro Subscription
The subscription for procurement and supply chain professionals, available as a monthly subscription (€19.95 per month incl. VAT) or annual subscription (€215 per year incl. VAT, with approx. 10% discount compared to monthly payment). Provides full access to the Intelligence dashboard, Pro Scan, AI procurement & supply chain signals, Live AIS Vessel tracker, Insights library, Events calendar, World Map, Risk/Opportunity intel, Claim Check (3 per month), Cost Pressure Monitoring, Contract Decision Signals, Margin Pressure Signal, Executive Impact Summary, market events and live news.
Business Subscription
The extended subscription for procurement teams and companies with regular supplier contact, available as a monthly subscription (€59 per month excl. VAT) or annual subscription (€599 per year excl. VAT, with 2 months free compared to monthly payment). Provides full access to all Pro features, plus: unlimited Claim Checks with AI analysis, daily briefings, faster data refresh, invoicing in company name and extended reports.
One-off vacancy listing
A one-off, paid placement of a single vacancy on Orbecta Talent (€149 excl. VAT, visible for 30 days). No Subscription is required; this service is independent of the Pro Subscription and Business Subscription.
Agreement
The legal relationship between Orbecta and the Customer based on entering into a Subscription, including these general terms and conditions.

2. Applicability

2.1 These general terms and conditions apply to all offers, quotes and agreements between Orbecta and the Customer, unless the parties have expressly deviated from these terms in writing.

2.2 The applicability of any purchasing or other general terms and conditions of the Customer is expressly rejected.

2.3 If one or more provisions in these terms are null and void or annulled, the remaining provisions will remain fully applicable.

3. Formation of the Agreement

3.1 The Agreement is formed at the moment the Customer signs up via the registration form on orbecta.com/signup_en and this registration is confirmed by Orbecta, or at the moment of successful online payment.

3.2 Orbecta reserves the right to refuse registrations without giving reasons.

4. Subscription

4.1 Orbecta offers two subscription types:

4.2 The Pro Subscription provides full access to all Platform functions, including: Intelligence dashboard, Pro Scan, AI procurement & supply chain signals, Live AIS Vessel tracker, Insights library, Events calendar, World Map with all layers, Risk/Opportunity intel, Claim Check (3 analyses per month), Cost Pressure Monitoring, Contract Decision Signals, Margin Pressure Signal, Executive Impact Summary, market events and live news.

4.2a The Business Subscription includes all features of the Pro Subscription, plus: unlimited Claim Checks with AI analysis (no monthly limit), daily briefings, faster data refresh, invoicing in company name and extended reports. Suitable for procurement teams and companies that regularly need to verify supplier claims.

4.3 The feature scope as described on the website (orbecta.com/subscribe_en) is binding.

4.4 Orbecta is entitled to adjust prices. The Customer will be notified by email at least 30 days before the effective date. In case of a price change, the Customer has the right to cancel the subscription as of the effective date.

4.5 One-off vacancy listing: in addition to the Subscription, Orbecta offers the option to post one-off vacancies on Orbecta Talent at a one-time rate of €149 (excl. VAT) per placement, visible for 30 days. No Subscription is required for this. One-off vacancy listings are single transactions and are not automatically renewed.

5. Payment

5.1 The Customer can choose between direct online payment (credit card, iDEAL, SEPA) or payment by invoice with a payment term of 14 days. Both payment methods are available for both the Pro Subscription and the Business Subscription.

5.2 With direct online payment, access is activated immediately after payment confirmation. The subscription amount is then automatically charged on the renewal date.

5.3 With payment by invoice, Pro or Business access is activated once the payment has been received (typically within 5-10 business days).

5.4 For the Business Subscription, the invoice is issued in the company name at the Customer's request. During registration, the Customer fills in the business details (company name, address, VAT number if applicable).

5.5 In case of late payment, the Customer is in default by operation of law. Orbecta is then entitled to suspend access to the Platform and charge statutory commercial interest.

5.6 All extrajudicial collection costs incurred by Orbecta are for the Customer's account.

6. Duration and Cancellation

6.1 Monthly subscription (Pro and Business): entered into for an indefinite period and cancellable monthly. Cancellation takes effect at the end of the current month. Monthly amounts already paid are not refunded.

6.2 Annual subscription (Pro and Business): entered into for a period of 12 months and automatically renewed for periods of 12 months each, unless the Customer cancels the annual subscription with a notice period of 30 days before the end date.

6.3 Cancellation can be made by email to info@orbecta.com, or via the profile page on the Platform.

6.4 Interim termination by the Customer does not entitle the Customer to a refund of amounts already paid.

6.5 Orbecta is entitled to terminate the subscription with immediate effect in case of breach of article 7 (Terms of Use) or in case of bankruptcy or suspension of payment of the Customer.

6a. Business nature of the Subscription

6a.1 The Pro Subscription and Business Subscription are intended exclusively for professional and business use by persons working in or independently active within procurement, purchasing or supply chain — including employees, independent professionals, freelancers and advisers. The subscription is used in the context of the Customer's profession, business, work or professional development. The Subscriptions are not offered as a consumer subscription.

6a.2 By entering into a Subscription, the Customer confirms that he/she is purchasing Orbecta for business or professional use and not as a consumer.

6a.3 No statutory right of withdrawal applies to business and professional customers.

6b. Immediate delivery and waiver of right of withdrawal

6b.1 The Platform is a digital service where access is activated immediately after payment. The Customer has explicitly requested this.

6b.2 During the registration process, the Customer is asked to expressly agree to: "I request Orbecta to deliver the digital service immediately after payment, and I acknowledge that — to the extent legally applicable — I lose my right of withdrawal as soon as access has started."

6b.3 This consent is recorded with date and time in Orbecta's administration as proof of express consent pursuant to article 6:230o paragraph 1 sub c of the Dutch Civil Code.

6b.4 If, unexpectedly, it is determined that a natural person acted as a consumer, the right of withdrawal has lapsed due to the confirmed immediate use of the digital service.

6b.5 Should a court or supervisor rule that the waiver of the right of withdrawal is not valid, Orbecta may deduct the proportional costs of the digital service already delivered between activation and withdrawal from any refund.

7. Use of the Platform

7.1 The Customer obtains a non-exclusive, non-transferable right to use the Platform for the duration of the subscription.

7.2 The Customer is not permitted to:

8. Availability and Service Level

8.1 Orbecta aims for 99% availability per month, but does not provide a hard guarantee.

8.2 Orbecta is entitled to temporarily take the Platform offline for maintenance, updates or security. Where possible, this will be communicated in advance.

8.3 Data on the Platform is updated multiple times per day based on external sources. Orbecta is not responsible for inaccuracies in this external data.

9. Intellectual Property

9.1 All intellectual property rights relating to the Platform, including software, databases, content and design, are vested in Orbecta or its licensors.

9.2 The Customer only obtains a right of use as described in article 7.

9.3 Data and analyses that the Customer extracts from the Platform for their own business use (such as internal reports) may be used freely, with attribution to Orbecta as source where applicable.

10. Liability

10.1 Orbecta delivers the Platform "as is" and provides no warranties regarding suitability for a specific purpose.

10.2 The information on the Platform is intended solely as a supporting tool for decision-making. The Customer remains responsible for procurement and business decisions.

10.3 Orbecta is not liable for:

11. Personal Data and Privacy

11.1 Orbecta processes personal data of Users in accordance with the General Data Protection Regulation (GDPR).

11.2 Processed data includes: business email address, company name, Chamber of Commerce number, VAT number, contact details and Platform usage data.

11.3 For enterprise customers, a Data Processing Agreement (DPA) is available on request.

12. Confidentiality

12.1 Both parties undertake to maintain confidentiality of all confidential information obtained about the other party.

12.2 The content of the Platform and the analyses derived from it are considered confidential and may not be shared with third parties outside the Customer's own organisation without permission.

13. Amendment of Terms

13.1 Orbecta reserves the right to amend these general terms and conditions.

13.2 Amendments are announced to the Customer by email at least 30 days before they take effect.

13.3 If the Customer does not agree with the amendment, they may cancel the subscription as of the effective date.

14. Applicable Law and Disputes

14.1 All agreements between Orbecta and the Customer are exclusively governed by Dutch law.

14.2 Disputes are preferably resolved through mutual consultation.

14.3 If this is not possible, disputes are submitted to the competent court in the district of The Hague.
